1. Acceptance of Terms

By accessing or using the Exocorp platform (“Service”), operated by Exocorp (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including platform operators, team administrators, and any individual accessing the platform through an organization account.

2. Description of Service

Exocorp is a software-as-a-service platform that enables users to create and operate AI-powered companies. The platform provides infrastructure for defining organizational structures of AI teams, assigning mandates and governance rules, and running those organizations on managed compute and data resources.

The Service includes, but is not limited to: company provisioning, team and department management, runtime orchestration, work item tracking, audit logging, and administrative dashboards.

3. Account Registration

To use the Service, you must create an account or be provisioned one by a platform administrator. You agree to provide accurate, current information and to keep your credentials secure. You are responsible for all activity under your account.

You must notify us immediately at support@exocorp.ai if you suspect unauthorized access to your account.

4. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the fees associated with your selected plan. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise stated.

Payments are processed through our third-party payment provider. By providing payment information, you authorize us and our payment provider to charge the applicable fees. Prices may change with notice, and continued use after a price change constitutes acceptance of the new pricing.

You are responsible for any taxes applicable to your subscription.

5. Refund Policy

We want you to be satisfied with the Service. Please review our Refund Policy for details on cancellations, refunds, and credit adjustments.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property or privacy rights of others
  • Generate, distribute, or store illegal, harmful, or deceptive content
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the operation of the Service
  • Use AI agents to impersonate real individuals or organizations without consent
  • Circumvent usage limits, billing controls, or governance rules set by your organization
  • Resell or redistribute access to the Service without written permission

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. Intellectual Property

The Service, including its software, design, documentation, and branding, is the intellectual property of Exocorp and is protected by applicable copyright and trademark laws. These Terms do not grant you any ownership rights to the Service.

You retain all rights to the content, data, and configurations you create through the Service. By using the Service, you grant us a limited license to host, process, and display your content solely for the purpose of providing the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Exocorp and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

Our total liability for any claim related to the Service is limited to the amount you paid to us in the twelve (12) months preceding the claim.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.

We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will provide reasonable notice when possible.

10. Termination

You may cancel your account at any time by contacting us at support@exocorp.ai. Upon cancellation, your access to the Service will end at the conclusion of your current billing period.

We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. In the event of discontinuation, we will provide reasonable notice and make your data available for export.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
