1. The agreement
These Terms cover how you use Exocorp. By signing up or using the service, you agree to them. If you don’t agree, don’t use it.
We are Exocorp (“we,” “us”). You are the person who signed up — or, if you signed up on behalf of an organization, the organization itself. In both cases, we’ll call you “you.”
2. What Exocorp is
Exocorp is a platform for setting up and operating exocorps — persistent AI-run companies. The platform provides:
- An isolated runtime per exocorp (compute, database, network)
- The operator portal where you direct your exocorp (CEO chat, teams, work items, knowledgebase, plugins, settings)
- The platform dashboard where you manage your fleet of exocorps (provisioning, lifecycle controls, audit trail)
- Plugin and integration surfaces that let your exocorp use outside capability through governed boundaries
Your exocorp’s AI agents call language-model providers through your own provider accounts (Anthropic, OpenAI, etc.). Section 6 covers this in detail.
3. Your account
To use Exocorp you create an account. You’re responsible for the information you give us (it should be accurate), the credentials you use (they should be secure), and what happens under your account.
If you think someone else is using your account, tell us at support@exocorp.ai right away.
4. Credits & billing
You pay for Exocorp through Credits. Top up Credits from your dashboard. Your exocorp draws from your balance as it operates — runtime billed continuously, auxiliary services as they’re used. 1 Credit = 1 USD; bulk top-ups earn bonus Credits.
Auto-refill is on by default. When your balance drops below roughly 25% of recent monthly burn, we run your selected top-up amount again. You can turn auto-refill off, change the amount, or top up manually from the dashboard.
Payments are processed by our third-party payment provider. By providing payment information you authorize us and the provider to charge you. You’re responsible for any applicable taxes.
Prices and Credit conversion rates may change. We’ll give notice through the service or by email. Existing Credits keep their value at the rate they were purchased.
Refunds: see our Refund Policy. Short version: Credits are refundable within 30 days of purchase.
5. Your content & data
You own the data you put into Exocorp, the configurations you create, and everything your exocorp produces (work outputs, knowledgebase entries, audit records, custom code, files in your workspace).
To run the service, you give us a limited license to host, process, transmit, display, and back up that data — just enough to actually provide Exocorp to you. We don’t claim ownership and we don’t use your data to train AI models.
You can export your data from the operator portal and the platform dashboard at any time. If you delete an exocorp or close your account, see Section 11.
6. Bring your own keys (BYOK)
Your exocorp’s agents call model providers using your own API keys or existing subscriptions. You configure these in settings; we route the calls but we don’t see the model traffic. Tokens are billed by the model provider directly, not by us.
Because the model providers are your contractual relationships:
- Your provider’s terms and acceptable-use policies apply to what your exocorp does
- You’re responsible for managing your provider quotas, rate limits, and bills
- If you revoke or rotate keys, your exocorp won’t be able to call those models until you provide working ones
7. Third-party services & plugins
Your exocorp uses auxiliary services to do its work — telephony (Twilio, etc.), email (Postmark, etc.), search APIs, cloud storage, plugins that talk to external systems. These services are billed pass-through from your Credits at the vendor’s published rate, with no markup from us.
When you use a third-party service through Exocorp:
- The vendor’s terms govern that service’s use
- We’re not responsible for the vendor’s availability, pricing changes, or actions
- You can set per-category spending limits from the operator portal’s Settings → Budgets
Plugin installation requires operator approval, with the plugin’s permissions visible before activation.
8. Acceptable use
Don’t use Exocorp for things that would get a normal company in trouble. Specifically, you agree not to:
- Break the law or help someone else break the law
- Infringe on anyone’s intellectual property, privacy, or other rights
- Generate, store, or distribute illegal, harmful, deceptive, or sexually explicit material involving minors
- Impersonate real individuals or organizations without their consent
- Try to gain unauthorized access to the service, other exocorps, or anyone else’s data
- Interfere with or disrupt the platform — including attempts to exfiltrate other customers’ data
- Circumvent your provider’s acceptable-use policies through your exocorp’s agents
- Resell or redistribute Exocorp itself without our written permission
If you violate these terms in a way that affects others or our service, we may suspend or terminate your account. For significant issues we’ll try to give you a heads-up; for urgent ones (active harm, legal liability, security incidents) we may act first and explain after.
9. Service availability
We aim for high availability but don’t promise the service will be uninterrupted. Sometimes there’s maintenance, sometimes there are incidents. The service is provided “as is” and “as available,” without warranties beyond what applicable law requires.
For scheduled maintenance we’ll give reasonable notice. If a significant outage prevents you from using the service, see the Service Issues section of our Refund Policy.
10. Limitation of liability
To the maximum extent permitted by law, we’re not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of Exocorp.
Our total liability for any claim related to Exocorp is limited to the greater of (a) the amount you paid us in the twelve months before the claim and (b) one hundred US dollars (USD $100).
Some jurisdictions don’t allow these limits in certain cases. Where that’s true, our liability is limited to the minimum permitted by law.
11. Termination
You can close your account at any time from the dashboard or by contacting us. Your access continues until the close completes; unused Credits are refundable per the Refund Policy.
We may suspend or terminate your account if you violate these Terms or if we’re required to by law. If we discontinue Exocorp entirely, we’ll give reasonable notice and make your data available for export.
After your account closes, we retain your data for up to 90 days to handle final billing and recovery in case you change your mind. After that, we delete it, except where law requires us to retain specific records (billing records, for example).
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes — changes that affect your rights or obligations — we’ll notify you by email or through the service before they take effect. Your continued use after a change means you accept the updated Terms.
The version of these Terms in effect at the top of this page governs your use of Exocorp today.
13. Governing law
These Terms are governed by the laws applicable in the jurisdiction in which Exocorp is incorporated. Disputes that can’t be resolved informally will be heard in the courts of that jurisdiction, except where mandatory consumer-protection law in your location requires a different venue.
Where law allows, we both agree to try to resolve disputes through direct communication first. We’d rather fix the underlying problem than litigate it.
